Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ascend OS. By accessing or using the platform, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use Ascend OS.
1. Eligibility & access
Ascend OS is offered on an invite-only basis to agencies and their authorized team members. You must be at least 16 years old and able to form a binding contract. Access is granted by an administrator within your organization, and your use is subject to any roles and permissions they assign.
2. Accounts & security
You are responsible for the activity that occurs under your account and for keeping your credentials confidential. Notify us promptly if you suspect any unauthorized use. We are not liable for losses arising from compromised credentials that you failed to protect.
3. Your content & data
As between you and Ascend OS, you and your organization own the client data, files, and other content you submit (“Your Content”). You grant us a limited, non-exclusive license to host, process, and display Your Content solely to provide and improve the service for you. You are responsible for having the necessary rights and consents to submit Your Content and to authorize the data processing described in our Privacy Policy.
4. Connecting third-party platforms
Ascend OS lets you connect third-party accounts — including Meta (Facebook and Instagram), Google (including YouTube and YouTube Shorts), and TikTok — to retrieve content and performance metrics. By connecting an account you represent that:
- You own the account or have authorization from its owner to connect it and access its data through Ascend OS.
- Your use of each platform's data complies with that platform's terms and policies, including the Meta Platform Terms, the Google API Services User Data Policy and YouTube Terms of Service, and the TikTok Developer Terms.
These platforms are independent services we do not control. They may change, limit, or discontinue their APIs at any time, which can affect or disable an integration. We are not responsible for third-party platforms or for any data they make available, and we may suspend an integration to comply with a platform's requirements.
5. Acceptable use
You agree not to:
- Use Ascend OS for any unlawful purpose or in violation of these Terms.
- Upload content you lack the rights to, or that infringes the rights of others.
- Attempt to access accounts, data, or systems you are not authorized to access.
- Probe, scan, reverse engineer, or disrupt the integrity or performance of the platform.
- Use connected-platform data in any way that violates the originating platform's policies.
6. Intellectual property
Ascend OS, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you to use the service, we reserve all rights. You may not copy, modify, or create derivative works of the platform.
7. Fees
If your organization subscribes to a paid plan, the applicable fees, billing cycle, and payment terms will be set out in a separate order or agreement. Unless stated otherwise, fees are non-refundable except as required by law.
8. Disclaimers
Ascend OS is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that metrics retrieved from third-party platforms will be complete or accurate.
9. Limitation of liability
To the fullest extent permitted by law, Ascend OS and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the service. Our total liability for any claim will not exceed the amounts you paid us for the service in the twelve months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold Ascend OS harmless from claims, losses, and expenses arising from Your Content, your use of the service, your connection of third-party accounts, or your violation of these Terms.
11. Termination
You or your administrator may stop using Ascend OS at any time. We may suspend or terminate access if you breach these Terms or to protect the service or other users. Upon termination, your right to use the platform ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive.
12. Changes
We may update these Terms or the service from time to time. When we make material changes, we will update the “Last updated” date above. Your continued use of Ascend OS after an update constitutes acceptance of the revised Terms.
13. Governing law & contact
